These Terms of Use ("Terms") govern your access to and use of Ragtime Notes (the "Service"), operated by Momentum3, LLC ("Momentum3," "we," "our," or "us"). Please read these Terms carefully before using the Service.

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Ragtime Notes is an AI-powered knowledge management platform that enables users to upload documents, create notes, connect third-party data sources, and interact with their content using large language model (LLM) technologies. The Service is designed for professional knowledge work, research, and document analysis.

2. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. By creating an account, you represent that:

You are at least 13 years of age
The information you provide during registration is accurate and complete
You will maintain the accuracy of your registration information
You are authorized to agree to these Terms on behalf of yourself, or, if applicable, on behalf of an organization

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at privacy@momentum3.biz if you suspect unauthorized access to your account.

3. User Content

You retain all ownership rights to the documents, notes, and other content you upload or create within the Service ("User Content"). By uploading User Content, you grant Momentum3 a limited, non-exclusive, royalty-free license to process, store, index, and transmit your User Content solely to provide and operate the Service on your behalf.

You are solely responsible for your User Content. You represent and warrant that:

You have the legal right to upload and use the content within the Service
Your User Content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party
Your User Content does not violate any applicable law or regulation

4. Acceptable Use

You agree not to use the Service to:

Upload, store, or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
Upload content that infringes any patent, trademark, trade secret, copyright, or other intellectual property right
Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts
Interfere with or disrupt the integrity or performance of the Service
Use the Service to train, fine-tune, or benchmark competing AI models without our express written consent
Circumvent or attempt to circumvent any security measures, access controls, or usage limits
Transmit malware, viruses, or any other malicious code
Use automated means (bots, scrapers, crawlers) to access or extract data from the Service without our prior written approval

We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy at our sole discretion.

5. AI-Generated Content Disclaimer

The Service uses large language model (LLM) technologies, including Azure OpenAI Service, to generate summaries, answers, chat responses, and other AI-assisted outputs (collectively, "AI Outputs"). You acknowledge and agree that:

AI Outputs are generated automatically and may contain errors, inaccuracies, omissions, or outdated information
AI Outputs are provided for informational and productivity purposes only and do not constitute professional advice (legal, medical, financial, or otherwise)
You are responsible for independently verifying any AI Output before relying on it for decisions of consequence
Momentum3 makes no warranty, express or implied, regarding the accuracy, completeness, or fitness of any AI Output for any particular purpose

6. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Momentum3, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service or any part of it without our express written consent.

The name "Ragtime Notes" and any associated logos are trademarks of Momentum3, LLC. Nothing in these Terms grants you a license to use our trademarks.

7. Third-Party Integrations

The Service allows you to connect third-party platforms such as Confluence, Azure DevOps, and Microsoft Teams. By connecting a third-party integration, you authorize us to access and sync data from those platforms into your Ragtime Notes projects on your behalf. Your use of third-party platforms is governed by those platforms' own terms of service and privacy policies. Momentum3 is not responsible for the practices, content, or availability of any third-party service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

9. Fees and Payment

The Service may offer free and paid tiers. Where paid features or subscription plans exist, applicable fees, payment terms, and cancellation policies will be disclosed at the point of purchase and are incorporated into these Terms. Momentum3 reserves the right to modify pricing with reasonable advance notice.

10. Termination

You may terminate your account at any time by contacting us or using any account deletion functionality provided within the Service. Upon termination, your User Content and account data will be permanently deleted in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. We will provide reasonable notice where practicable, except in cases involving security risks or legal obligations requiring immediate action.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOMENTUM3, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Momentum3, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Effective Date" at the top of this page and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
